Terms of Service

This document is a working template. It has not been reviewed by legal counsel, and it will be replaced with a counsel-approved version before any paid plan is offered.

1. Agreement to these terms

These terms govern your use of Orgsemble, a service for building, sharing, and collaborating on organizational charts, projects, and field operations records. By creating an account or using the service you agree to these terms. If you use the service on behalf of an organization, you agree on that organization's behalf and confirm you are authorized to do so.

2. The service

Orgsemble provides, through its web application, its native clients, and its REST API:

  • An editor for organizational charts and free-form diagrams, with import, export, snapshots, and version compare.
  • Collaboration features: organizations, roles and permissions, invitations, share links, and an audit log.
  • Field operations tools: sites, surveys, compliance checklists, schedules, and reporting.
  • Optional integrations, including directory sync from external systems you connect and bring-your-own AI connections.

We may change, add, or remove features. Where a change materially reduces what a paid plan provides, we will give notice before it takes effect.

3. Accounts and security

You must provide accurate account information and keep your password and any API tokens confidential. You are responsible for activity under your account and tokens. The service does not send email today, which means there is currently no self-service password reset; if you lose access to your account, contact us at hello@orgsemble.com and we will verify ownership before restoring access.

4. Your content

You keep all rights to the content you put into the service: your charts, the people and role data on them, project records, survey responses, uploaded photos, and imported files. You grant us the limited license needed to host, process, display, and transmit that content solely to operate the service for you and the people you share it with. We claim no other rights to your content.

You are responsible for having the right to upload the content you upload, including personal data about the people who appear on your charts.

5. Acceptable use

You agree not to:

  • Break the law or violate the rights of others.
  • Probe, breach, or overload the service, or access data that is not yours.
  • Resell or white-label the service without a written agreement.
  • Upload content that is malicious, or that you have no right to process.

6. AI connections

AI features are bring-your-own: if you connect an AI provider, you supply the API key for your own account with that provider, and requests made through those features are made against your provider account under that provider's terms and pricing. Orgsemble does not resell AI inference and is not a party to your agreement with your provider. You can disconnect a provider at any time.

7. Sharing, tokens, and connected systems

Share links grant access to the single chart they name, to anyone who holds the link, at the level the link specifies (view or edit). Treat a share link like the access it grants. API tokens act with the permissions of the account that created them. Directory sync connections read from the external systems you configure, using credentials you supply; you are responsible for being permitted to connect those systems.

8. Fees

The service is currently free to use. If paid plans are introduced, pricing and payment terms will be published first, and nothing you already stored will be held back to force an upgrade.

9. Disclaimers

The service is provided as is and as available, without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. Compliance features (surveys, checklists, reports) are record-keeping tools; they do not constitute legal, safety, or regulatory advice, and passing a checklist in the product does not by itself establish compliance with any law or standard.

10. Limitation of liability

To the maximum extent permitted by law, Orgsemble and its operator are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising from your use of the service. Our total liability for any claim is limited to the amount you paid us for the service in the twelve months before the claim arose, or one hundred US dollars if you paid nothing.

11. Termination

You may stop using the service and request deletion of your account at any time. We may suspend or terminate accounts that violate these terms, with notice where practical. On termination we will, on request and within a reasonable period, provide an export of your content before deleting it.

12. Changes to these terms

We may update these terms. The date at the top of this page is the date of the current version. For material changes we will post notice in the product before the new terms take effect; continued use after that date is acceptance of the updated terms.
